Adds section 436.290 to Missouri law regulating private (nongovernmental) construction contracts, covering agreements between owners, contractors, subcontractors, and suppliers at all tiers

Declares void and unenforceable eight categories of contract provisions, including: "pay-when-paid" clauses, provisions withholding amounts beyond what is in dispute, clauses preventing work suspension for nonpayment, requirements to waive rights as a condition of receiving undisputed payments, and provisions requiring out-of-state litigation or applying another state's laws

Requires owners to pay contractors within 40 days of receiving an invoice for satisfactorily completed work, with written notice of any withholding due within 15 days specifying the amount, reasons, and responsible parties

Requires contractors to pay subcontractors within 7 days of receiving payment from the owner and to notify subcontractors within 2 business days of receiving payment for their work

Exempts owner-occupied residential properties of 4 units or fewer and applies only to contracts entered into on or after August 28, 2026
