Authorizes the City of Southaven's governing authorities to contract with Associated Wholesale Grocers, Inc. (AWG) for road improvements within the city.

Permits the city to accept $250,000 from AWG for road improvements and requires repayment of $250,000 in five equal annual installments of $50,000 each at zero interest, with first payment due June 1, 2010.

Requires the governing authorities to adopt a resolution and publish notice in a local newspaper for three consecutive weeks, with at least 21 days' notice before contract execution; allows 20% of qualified electors (or 1,500 persons, whichever is less) to petition for a referendum on the contract.

Mandates separate accounting for contract funds from general city funds and requires annual independent audits by a certified public accountant, with audit expenses paid from the contract funds.

Requires submission of the act to the U.S. Attorney General or U.S. District Court for the District of Columbia under the Voting Rights Act of 1965; act becomes effective upon Voting Rights Act approval.
