SB 2455 Summary

• Creates the Mississippi Registered Agents Act (Chapter 79-35) establishing a uniform system for registered agents across all entity types (corporations, LLCs, partnerships, trusts, etc.) to receive service of process and legal documents.

• Allows entities to appoint either commercial registered agents (individuals or businesses listed with the Secretary of State) or noncommercial registered agents (owners or officers), with commercial agents required to maintain a physical office in Mississippi and provide designated service methods.

• Sets filing fees for registered agent services including $100 for commercial agent listings, $50 for terminations, $10 per entity for changes (capped at $1,000), and $25 for service of process on the Secretary of State.

• Establishes procedures for registered agent changes, resignations, and reinstatement following administrative dissolution, with penalties for false designation of agents without consent including administrative dissolution of the entity and a $250 reinstatement fee.

• Repeals superseded registered agent provisions from existing statutes for corporations, nonprofits, foreign entities, limited partnerships, and LLCs, consolidating all service of process requirements under the new uniform act effective January 1, 2012.
