Permits electronic transmission of shareholder proxies and written consents, and allows articles of incorporation or bylaws to authorize electronic delivery of director meeting notices.

Creates new section providing federal Electronic Signatures in Global and National Commerce Act does not supersede chapter provisions, and repeals requirement to report director indemnification and share issuances in annual reports.
