Establishes uniform state law governing formation, organization, and legal administration of homeowners' associations in Mississippi, including membership consisting exclusively of real property owners within the association's jurisdiction.

Requires associations to establish boards of directors with escalating owner representation: at least 25% non-developer elected members when 25% of lots are sold, and at least 33.3% when 50% of lots are sold.

Permits associations to terminate developer contracts without penalty after owner-elected board takes office, including management contracts, recreational leases, and unconscionable agreements.

Prohibits associations from restricting U.S. flag displays or unreasonably restricting energy efficiency measures, and allows courts to refuse enforcement of unconscionable provisions in governing documents.

Requires associations with significant assets to prepare reserve studies at least every three years identifying major maintenance and replacement costs, with specified funding plan options and financial disclosure requirements to homeowners.

Limits fines to owners who violate bylaws and establishes liability protections for associations regarding developer actions, while allowing developers to be held liable for improper fund use during their control period.
