Creates the Mississippi Entity Conversion and Domestication Act to allow domestic entities to convert to different entity types or domesticate to foreign jurisdictions, and allows foreign entities to domesticate to Mississippi.

Establishes comprehensive procedures for conversions and domestications including filing requirements with the Secretary of State, plan approval processes, and effective dates (not to exceed 90 days after filing).

Provides that converted or domesticated entities continue as the same entity without interruption, retaining all property, debts, and liabilities while interest holders receive only rights specified in the conversion or domestication plan.

Amends existing business corporation, partnership, limited partnership, and limited liability company statutes to conform with the new conversion and domestication procedures and grants appraisal rights to interest holders in qualifying transactions.

Sets filing fees of $50 for statements of conversion or domestication and $25 for abandonment statements; effective date January 1, 2015.
