Allows corporations to hold annual shareholder meetings remotely via electronic transmission, conference telephone, videoconference, or internet unless prohibited by the corporation's bylaws.

Permits special shareholder meetings to be conducted remotely using the same electronic communication methods, either exclusively or in combination with physical meetings.

Defines "remote communication" as communication via electronic means by which persons not physically present can communicate on a substantially concurrent basis.

Requires corporations to notify shareholders of the date, time, place, and method of remote access (if applicable) for annual and special meetings between 10 and 60 days before the meeting.

Takes effect upon passage.
