Amends Section 83-31-9 to require mutual insurance companies to provide time, notice, quorum requirements, and conduct procedures for annual and special meetings of members.

Grants members the right to vote in person or by written proxy, with proxies executed at least 30 days before the meeting and irrevocable for no longer than 11 months.

Brings forward Section 83-31-163 regarding mutual insurance holding companies, requiring bylaws to specify meeting procedures, director elections, voting methods, officer roles, and fund management.

Requires mutual insurance holding companies to file adopted bylaws with the insurance commissioner within 30 days and prohibits enforcing bylaws disapproved by the commissioner.

Effective July 1, 2025.
