Restructures the UNC Health Care System board of directors effective November 1, 2012, increasing total membership from variable size to a fixed 24 members.

Expands ex officio members from a minimum of six to eight, adding the President of UNC Hospitals and President of UNC Faculty Physicians as required positions.

Changes at-large member appointments from 9-21 variable seats to 16 fixed seats, with 12 appointed by the Board of Governors and 4 appointed by the board of directors itself.

Limits at-large members to two consecutive four-year terms and prohibits Board of Governors members, university trustees, and state officers or employees from serving on the board.

Requires board chairman to be elected from at-large members only (except allowing the UNC Chapel Hill Chancellor as an exception), with a limit of three consecutive two-year terms.
