Changes Board of Transportation members from 2 non-voting ex officio members to at least 2 but not more than 3 voting members appointed by the Secretary of Transportation, who must be division members or at-large mass transit experts within the Authority's jurisdiction.

Makes all Board of Trustees members voting members, eliminating the previous distinction between voting and non-voting members.

Clarifies voting procedures by requiring a quorum based on membership excluding vacant seats and mandating affirmative votes equal to a majority of non-excused members to authorize expenditures or contract actions.

Authorizes regional transportation authorities to hire a chief administrative officer responsible for employee management, budget preparation, report submission, and day-to-day operations under Board of Trustees direction.

Requires the chief administrative officer to designate a clerk employee responsible for meeting notices, Board proceedings journals, records custody, and other Board-assigned duties.
