Restructures G.S. 57D-2-30(b) provisions regarding limited liability company operating agreements by recodifying subsections (1), (2), and (7) into subsections (1)a, (1)b, and (1)c respectively.

Clarifies that operating agreements may establish forums for dispute resolution and specify how decisions of interest owners and other parties are to be made.

Permits conversion of charitable or religious corporations to limited liability companies if the sole member of the surviving LLC is a charitable or religious corporation.

Establishes employer rights over employee inventions by making ownership vested by contract or law non-revocable despite compensation disputes, except in cases of fraudulent acquisition.

Allows employers to require employees to report all inventions developed during employment and to require full title to patents and inventions when mandated by contracts with the United States or its agencies; becomes effective October 1, 2016.
