Modifies merger limitations for charitable or religious corporations to allow mergers with limited liability companies meeting specific tax-exempt criteria, effective October 1, 2021.

Requires all domestic and foreign nonprofit corporations to file annual reports with the Secretary of State by November 15 each year, effective January 1, 2023, with delinquency grounds for administrative dissolution.

Authorizes domestication of nonprofit corporations, allowing them to change their governing jurisdiction while maintaining continuity as the same corporation, effective October 1, 2021.

Reduces minimum board of directors requirement from three to one member (except for private foundations), and allows single-member board committees, effective October 1, 2021.

Permits electronic transactions and consents for members and directors except as limited by articles of incorporation or bylaws, effective October 1, 2021.
