Repeals the existing chapter 10-32 governing limited liability companies and replaces it with updated statutory framework.

Updates 40+ existing sections across multiple chapters of North Dakota law to reference the new chapter 10-32.1 instead of chapter 10-32.

Implements uniform limited liability company standards requested by the Commission on Uniform State Laws covering formation, management, membership, dissolution, and foreign company qualification.

Passed by House vote of 90-1-3 and Senate vote of 47-0-0.
