HB 1335 Summary

• Creates new procedures for involuntary dissolution of cooperatives, nonprofits, corporations, and limited partnerships by the secretary of state for failure to maintain registered agents, file required documents, or for material misrepresentations.

• Establishes reinstatement procedures allowing dissolved entities to restore their status by filing past-due annual reports and paying penalties and reinstatement fees within one year, or by appealing to district court within 90 days.

• Requires the secretary of state to provide 60 days' written notice before dissolving or revoking an entity's authority, during which the entity may file corrections or required documents to avoid dissolution.

• Modifies filing requirements for annual reports, registered agent resignations, and address changes, allowing many address-only changes to be reported without filing formal amendments or additional fees.

• Repeals obsolete sections and reorganizes dissolution/revocation provisions for cooperatives (10-15-53.2), corporations (10-19.1-146.1), nonprofits (10-33-141.3), and limited partnerships (45-10.2-108.1).
