Creates an Office for Small Business within the Executive Department with a Director appointed by the Governor with Senate consent, replacing the Division for Small-Business previously under the Economic Development Law.

Establishes a 15-member Small Business Advisory Board with at least nine members who are current or former small business owners, serving three-year terms with quarterly meetings.

Defines small business as independently owned and operated, resident in New York State, not dominant in its field, and employing 100 or fewer persons.

Transfers all functions, powers, assets, liabilities, and appropriations from the Division for Small-Business to the new Office by January 31, 2012, including the Small Business Stationary Source Ombudsman Program for Clean Air Act compliance.

Authorizes the Office to coordinate state agency activities affecting small businesses, represent small business interests before regulatory agencies, conduct research and education programs, and investigate complaints.
