Repeals Article 4-B of the Economic Development Law and abolishes the Division for Small-Business, transferring all functions, powers, and duties to a new Office for Small Business within the Executive Department by January 31, 2013.

Creates an Office for Small Business led by a Director appointed by the Governor with Senate approval, with authority to coordinate state agency activities affecting small businesses, receive complaints, conduct research, and represent small business interests before regulatory agencies.

Establishes a 15-member Small Business Advisory Board appointed by the Governor with Senate consent, with at least 9 members actively involved in small business ownership or operation, to advise the Director and make policy recommendations.

Defines "small business" as independently owned and operated entities resident in New York State that are not dominant in their field and employ 100 or fewer persons.

Establishes a Small Business Stationary Source Ombudsman Program to assist small businesses with federal Clean Air Act compliance and environmental regulations, including soliciting input, facilitating regulatory participation, and investigating complaints.
