Allows corporations to provide shareholders not physically present at meetings a reasonable opportunity to participate substantially concurrently through electronic communications, if authorized by the board of directors.

Permits corporations to enable shareholders to vote or grant proxies through electronic communication, including telephonic and internet voting methods.

Requires corporations using electronic participation to implement reasonable verification measures to confirm participants are shareholders of record and to maintain records of votes cast electronically.

Deems shareholders participating by electronic means to be present in person at the meeting and requires notice of shareholder meetings to specify what electronic communication means, if any, will be available for participation and voting.

Takes effect immediately upon enactment.
