Expands the definition of "agency" under the Public Officers Law to include the Research Foundations of SUNY and CUNY, foundations and auxiliary service corporations associated with public colleges or universities, and certain other non-profit corporations controlled by public colleges or universities, excluding statutory and contract colleges at Alfred and Cornell.

Adds exemptions to public records disclosure requirements for records relating to charitable donors and fundraising strategies of public college and university foundations, except that donor names and donation amounts must be disclosed if the donor or related entity conducts business with the agency within three years of the donation.

Adds exemption from disclosure for academic and scientific research records, including drafts and unfunded grant documents, and intellectual property records, provided that the name, title, expenditure, source, and amount of public funding relating to such research must still be disclosed.

Requires SUNY and CUNY trustees to adopt conflict of interest policies for campus foundations and affiliated corporations, including prohibitions on board members voting on transactions with vendors in which they have a business interest, and requires reporting on implementation status within 90 days.
