Not-for-profit corporation bylaws must include provisions addressing employees serving on governing bodies, the percentage of governing body membership that must be independent, hiring of family members, and conflict of interest policies covering business interests.

Employees of not-for-profit corporations are prohibited from serving as chair or as voting members of the organization's governing body.

No person related to the chief executive or any governing body member by blood or marriage may be employed by the organization, except with approval of two-thirds of the governing body members.

All bylaws required under this section must be made available for review by the Attorney General upon request.

Cemetery corporations subject to Article Fifteen of the not-for-profit corporation law are exempted from these provisions.

The act takes effect one year after becoming law.
