S.7816 Summary: Modernizing New York's Uniform Commercial Code

• Repeals and replaces Article 1 of the Uniform Commercial Code with modernized general provisions, definitions, and principles of interpretation including rules on good faith, conspicuous terms, and course of performance/dealing/usage of trade.

• Extensively revises Article 7 (Documents of Title) to create comprehensive provisions for both tangible and electronic documents of title, including rules for negotiation, transfer, warehouse receipts, bills of lading, carrier and warehouse liens, and enforcement procedures.

• Updates Article 9 (Secured Transactions) with modernized provisions for electronic documents, certificates of title, control of deposit accounts, financing statement requirements, debtor naming conventions, and electronic chattel paper to reflect contemporary commercial practices.

• Makes conforming amendments throughout Articles 2, 2-A, 3, 4, 5, 8, and 9 to align definitions and cross-references with the revised articles, including updates to definitions of terms like "control," "authenticate," "good faith," and "electronic documents."

• Takes effect immediately upon enactment and applies to transactions entered into on or after the effective date.
