Restructures the New York racing association board of directors from an unspecified size to fifteen members with defined appointment authority: eight elected by the executive committee of the New York racing association reorganization board (including one resident each from Nassau, Queens, and Saratoga counties), plus the chief executive officer, two appointed by the governor, one by the senate temporary president, one by the assembly speaker, one by New York Thoroughbred Breeders Inc., and one by the New York thoroughbred horsemen's association.

Requires the governor to nominate and the board to confirm by majority vote a chair, with all members having equal voting rights and serving three-year terms on a staggered schedule (five members' terms expiring December 31, 2017; three members plus two appointees expiring December 31, 2018; and three appointees expiring December 31, 2019).

Establishes mandatory board committees including compensation, equine safety, finance, nominating, racing, and executive committees, with requirements that the compensation, finance, nominating, and executive committees each include at least one gubernatorial appointee, and the executive committee include the senate and assembly appointees.

Incorporates the board structure into the franchised corporation's certificate of incorporation effective upon enactment, with all future by-law amendments requiring unanimous board vote.

Takes effect October 18, 2016.
