Adds rail tunnels, including construction, repair, maintenance, operation, and replacement, to the definition of "compatible governmental use" within Hudson River Park.

Permits a permanent vested easement for the Hudson River rail tunnel between New York and New Jersey crossing under the park surface between West 27th and West 30th Streets, subject to trust approval.

Allows the trust to enter into a lease for the Hudson River rail tunnel coterminous with its state lease, with automatic renewal for extensions, exempting it from the standard 30-year duration restriction on park agreements.

Requires the project sponsor to restore surface portions of the park affected by tunnel construction and staging for public open space use at its own cost according to trust-approved plans.

Exempts compatible governmental uses from the requirement to issue a bid prospectus for leases or agreements.
