Amends Public Authorities Law Section 2562 to change the quorum requirement for the New York Convention Center Operating Corporation board of directors from "whole number of members" to "appointed voting membership"

Replaces the definition of "whole number" (which counted positions as if there were no vacancies or disqualifications) with actual appointed voting members present

Maintains the requirement that a majority of the board constitute a quorum for conducting business and exercising corporate powers

Continues the prohibition on proxy voting at board meetings

Takes effect immediately upon enactment
