Permits written board and committee consents to be submitted electronically via email with verifiable authorization, replacing the requirement for physical signatures

Allows shareholders of business corporations and members of not-for-profit corporations to hold meetings entirely through electronic communication platforms, designated as the official meeting location

Requires not-for-profit corporations conducting electronic or partial electronic meetings to verify participant identity, provide reasonable opportunity to participate and vote, and maintain records of electronic votes and actions

Mandates notice to members include the means of electronic communication available for meeting participation and applies the same requirements to adjourned meetings
