Expands electronic consent options for board and committee actions to include electronic mail or other electronic means alongside written consent.

Clarifies that directors with conflicts of interest who are physically present at a meeting count toward quorum determination even if they do not vote on conflicted matters.

Takes effect immediately upon enactment.
