Adds new section 301-a to Civil Practice Law and Rules establishing that when a business organization surrenders, withdraws, or revokes its registration or certificate to do business in New York, its consent to state court jurisdiction terminates on that date.

Amends Business Corporation Law to establish that filing an application for authority to do business constitutes consent to New York court jurisdiction, and surrendering the application withdraws that consent.

Amends General Associations Law to provide that filing a certificate of designation constitutes consent to New York court jurisdiction, and revoking the designation withdraws that consent.

Amends Limited Liability Company Law, Not-for-Profit Corporation Law, and Partnership Law to establish similar consent-to-jurisdiction provisions for foreign LLCs, foreign not-for-profit corporations, foreign limited partnerships, and foreign limited liability partnerships.

Takes effect January 1 of the year following enactment.
