• Creates new Article 12 governing controllable electronic records (digital assets that can be controlled and transferred) with provisions for control, transfer, and priority of security interests in such records.

• Replaces references to "authenticate" with "sign" throughout the UCC and updates definitions related to electronic records, signatures, and digital transactions to accommodate modern commercial practices.

• Adds new control provisions for electronic money, chattel paper with electronic copies, and controllable accounts/payment intangibles, establishing perfection and priority rules for security interests in these digital assets.

• Includes transitional provisions allowing security interests perfected before the effective date to remain valid through an adjustment date of July 1, 2025, or one year after enactment, whichever is later.
