Establishes the Uniform Trade Secrets Act in New York, creating a standardized legal framework for protecting confidential business information including formulas, designs, methods, programs, and other technical or economic data

Defines "misappropriation" to include acquiring trade secrets through theft, bribery, espionage, breach of confidentiality duties, or unauthorized duplication, transmission, or disclosure of protected information

Authorizes courts to issue temporary, preliminary, or permanent injunctions against actual or threatened trade secret misappropriation, and permits royalty-based arrangements in exceptional circumstances

Allows recovery of actual damages, unjust enrichment, and reasonable royalties, with exemplary damages up to twice the award available for willful or malicious misappropriation; attorney's fees may be awarded in bad faith cases

Sets a three-year statute of limitations from discovery of misappropriation, with the act taking effect 180 days after passage and applying only to misappropriation occurring after the effective date
