Amends 18 O.S. 2011, Section 2055.2 to require domestic and foreign limited liability companies to file annual certificates with the Oklahoma Secretary of State confirming active business status and listing principal place of business address.

Imposes an annual certificate fee of $25.00 that must be paid by all domestic and foreign limited liability companies registered to do business in Oklahoma.

Changes the method of notice delivery from mail to electronic mail, requiring the Secretary of State to send annual certificate notices to each company's last known email address on file at least 60 days before the anniversary date.

Establishes that companies failing to file the annual certificate and pay the fee within 60 days after the due date lose good standing status and cannot file other documents or obtain certificates of good standing until reinstatement is completed.

Becomes effective November 1, 2012.
