Amends 18 O.S. 2011, Section 1027 of the Oklahoma General Corporation Act regarding board of directors structure and classification.

Removes mandatory requirement that domestic corporations with publicly-traded stock and 1,000+ shareholders must divide their board of directors into two or three classes.

Eliminates automatic three-class board division (arranged alphabetically by director last name) that previously applied to qualifying corporations lacking existing classification provisions.

Allows corporations to determine their own board classification structure through certificate of incorporation or bylaws without automatic legal mandates.

Declares an emergency, making the act effective immediately upon passage and approval.
