Amends 12 O.S. Section 682 to permit lawsuits against corporate officers, directors, or shareholders for their own conduct, acts, or contractual obligations that fall outside the scope of their corporate role

Maintains existing protection requiring plaintiffs to first obtain judgment against a corporation and have execution returned unsatisfied before suing officers, directors, or shareholders for corporate debts

Deletes subsection C, which previously prohibited trying claims against officers, directors, or shareholders in the same phase of proceedings as corporate liability claims

Extends the same protections to members and managers of limited liability companies as those afforded to corporate officers, directors, and shareholders

Effective date: November 1, 2016
