SB1085 Summary

• Creates the Uniform Unincorporated Nonprofit Association Act to establish comprehensive rules governing unincorporated nonprofit associations with at least two members joined for nonprofit purposes.

• Members and managers are not personally liable for association debts or obligations, and the association is treated as a distinct legal entity able to sue, be sued, acquire property, and establish procedures for governance.

• Establishes requirements for membership approval on major decisions (member admission/removal, manager selection, property disposition, dissolution, policy determination), voting procedures, and fiduciary duties for managers.

• Provides procedures for property transfers including real property interests through filed statements of authority, dissolution and winding up of associations, and merger transactions with other entities while protecting charitable assets.

• Effective November 1, 2025.
