Statute of limitations is tolled (paused) for any cause of action arising from business activities conducted by persons or entities required to register with the Rhode Island Secretary of State under Title 7 or § 6-1-1 who fail to do so

Tolling applies regardless of whether the unregistered business maintains a physical presence in Rhode Island, and continues until the person or entity becomes duly registered or authorized to transact business

Voluntary compliance incentive allows the limitations period to begin running upon registration if the business registers before receiving written notice of a claim or state agency compliance inquiry/enforcement action

Actions under the voluntary compliance incentive must be commenced within 3 years after registration or within the otherwise applicable limitations period from when the cause of action accrued, whichever is later
