Allows limited liability limited partnerships (LLLPs) to be formed directly by filing a certificate with the Secretary of State, rather than requiring an existing limited partnership to first qualify

Required certificate contents include: entity name ending in "Registered Limited Liability Limited Partnership," "L.L.L.P.," or "LLLP"; chief executive office address; registered agent information if no in-state office; election statement; and optional deferred effective date

Certificates may be submitted electronically if permitted by the Secretary of State, or in typewritten/printed form with a conformed copy

Existing pathway preserved for limited partnerships to convert to LLLP status through partner approval vote and filing a statement of qualification
