Vacates and reconstitutes the Tennessee Technology Development Corporation effective July 1, 2026, with a new 12-member board of directors consisting of 7 private sector and 4 public sector representatives, plus the Commissioner of Economic and Community Development as an ex officio member.

Appointment authority is divided among the governor (3 private, 2 public), speaker of the house (2 private, 1 public), and speaker of the senate (2 private, 1 public), with one gubernatorial public sector appointee selected from lists submitted by municipal and county organizations.

Initial board terms are staggered at 3 and 4 years, with all subsequent terms lasting 4 years; members may serve successive terms if reappointed by their original appointing authority.

Creates a 5-member executive committee appointed by the board to handle day-to-day operations, and limits board meetings to 8 per year and executive committee meetings to 4 per year.

Requires the board to adopt a conflict of interest policy mandating annual written financial disclosures and acknowledgment of the policy as a condition of appointment.
