Expands the definition of "material change" requiring 60-day advance notice to the attorney general to include ownership/control changes of hospitals, hospital systems, or provider organizations; significant asset transfers including real property sale-leaseback transactions; and conversions from nonprofit to for-profit status

Requires out-of-state healthcare entities generating $10 million or more in revenue from Washington patients to submit notice for mergers, acquisitions, or contracting affiliations with Washington entities

Mandates the secretary of state revoke nonprofit corporation designation for hospitals, hospital systems, or provider organizations that merge with or transfer controlling interest to for-profit or unincorporated entities

Authorizes the attorney general to establish memoranda of understanding with the Department of Health, Office of the Insurance Commissioner, and Health Care Authority to share data for reviewing healthcare transactions

Adds a 30-day waiting period after parties comply with attorney general requests for additional information before transactions may proceed
