Grants decentralized unincorporated nonprofit associations the ability to hold property, enter contracts, sue and be sued in their own name, while providing liability protection for individual members and administrators from the organization's debts and tortious acts

Permits governance through distributed ledger technology, smart contracts, and algorithmic consensus mechanisms, with membership interests determined by blockchain-based voting rights that are freely transferable unless restricted by governing principles

Requires associations to file a statement with the Secretary of State appointing an agent to receive service of process, and establishes venue rules based on office location, business activities, or registered agent residence

Addresses dissolution procedures, winding up of operations, merger with other organizations, and conversion to other entity types, with remaining property distributed to members in proportion to their membership interests or to entities with similar nonprofit purposes
